About the role
Corporate Counsel – Commercial Go To Market Contracts
UKG seeks an experienced, motivated, practical, and solution-oriented attorney to drive various commercial legal matters, including supporting transactions with customers, resellers and partners, as well as OEM and similar transactions. This role will primarily focus on the review, drafting, and negotiation of a wide variety of commercial agreements, directly and through the channel, to support the company’s diverse offerings, including SaaS, data licenses, equipment purchases, and professional services agreements.
In this role, you will provide vital legal and operational support primarily to our Sales / Go To Market team on a wide range of legal matters. You will work closely with our Sales and Services teams, as well as other internal partners, including our Information Security, Governance, Risk and Compliance, Cloud, Product Management, Privacy, and Finance teams.
Key Responsibilities
- Draft, review, and negotiate a variety of commercial agreements and supporting documentation
- Analyze legal risks with attention to detail while creatively overcoming obstacles
- Solve complex issues using analytical thinking to identify innovative solutions
- Contribute to the continuous improvement of department processes and templates
- Provide support for projects as required in a variety of legal practice areas to support global business
- Support the development of policies, procedures, and techniques to support contract negotiations
- Deliver timely support to the Sales organization and other cross-functional stakeholders
- Mentor and assist contract negotiators (non-attorneys) in their support of sales negotiations
- Contribute to a range of legal matters by supporting other members of the legal department on an as-needed basis
- Collaborate proactively with other departments to gather business information, ensuring all agreements and legal documents accurately reflect business capabilities and address associated legal risks
- Partner with internal customers to support the readiness and release of products and features by identifying and addressing specific terms and conditions in legal documentation
- Provide legal guidance on contract interpretation and other legal issues
- Possess a growth mindset, thrive in fast-paced environments, and excel at managing multiple projects and tasks simultaneously, ensuring timely completion

Basic Qualifications
- J.D. and current admission in Florida, Massachusetts, or another U.S. jurisdiction
- Ability to support in continental US time zones, including Pacific Standard Time (PST)
- At least 3-5+ years of relevant experience in a law firm and/or global corporation
- Experience negotiating technology transactions and complex commercial transactions with a familiarity of legal issues surrounding Cloud/SaaS product offerings and software licensing
- Experience structuring, negotiating, and supporting agreements for direct and indirect sales, as well as broader partnership arrangements
Preferred Qualifications
- Proficiency in Spanish strongly preferred, including the ability to review and negotiate contracts in Spanish
- SaaS contract negotiation experience in Human Resource/Payroll technologies is preferred
- Self-starter able to work in a very fast paced, changing environment with ability to juggle several priorities at the same time
- Excellent writing and drafting skills with a sharp attention to detail
- Experience with procurement processes, such as RFP (Request for Proposal) process, negotiation of contracts, drafting contractual clauses and use of alternative contracting vehicles preferred (through partner or re-sellers)
- Efficiently manages time to meet multiple deadlines and tasks, and makes confident decisions in time-sensitive situations
- Communicates confidently and articulately, both in person and virtually
- Works well independently and collaboratively within a team, engaging effectively with various levels and audiences
- Detail-oriented with strong follow-up skills, capable of identifying and resolving issues promptly, and possesses strong project management and organizational skills
