About Contract Manager

This role drives end-to-end contract operations by drafting, negotiating, and managing customer, vendor, and partner agreements with precision, scalability, and legal compliance. You will collaborate cross-functionally to optimize workflows, revamp the CLM system, and enhance the efficiency of the contract lifecycle.

Key Responsibilities

Administer Customer Contracts:

  • Draft and maintain templates for MSAs, Order Forms, SOWs, and NDAs.
  • Create and update schedules and addenda including DPAs, BAAs, and SLAs.
  • Negotiate redlines and review customer agreements.
  • Collaborate with Product, Service Delivery, and Sales Operations teams.
  • Develop and improve a customer contract management system (CLM).

Manage Vendors & Partner Contracts:

  • Draft and maintain templates for channel, referral, and agent agreements.
  • Negotiate vendor/partner agreements per corporate standards.
  • Collaborate with the Director of Procurement on vendor CLM systems.
  • Organize key terms for internal stakeholder reference.

Lead Contract Operations:

  • Establish workflows with department leaders and align systems for commercial contracts.
  • Coordinate with outside counsel for complex contract matters.
  • Ensure all contracts comply with legal, regulatory, and corporate guidelines.
  • Drive adherence to corporate governance structures concerning contract deviations.
  • Assist the GRC team with certifications, compliance, and necessary communications.
  • Identify opportunities to automate tasks using AI and legal tech tools.

Required Qualifications

  • 5+ years managing high volumes of contracts in a B2B technology services setting.
  • Strong knowledge of contract law and negotiation strategies.
  • Familiarity with CLM software such as Ironclad.
  • Proven ability to streamline processes and drive tool adoption.
  • Excellent communication, negotiation, and organizational skills.
  • Bachelor's degree required.

Preferred Qualifications & Additional Information

  • JD or paralegal certification is a plus.
