About Swooped
This role drives end-to-end contract operations by drafting, negotiating, and managing customer, vendor, and partner agreements with precision, scalability, and legal compliance. The Contract Manager collaborates cross-functionally to optimize workflows, revamp the CLM system, and enhance the efficiency of the contract lifecycle.
Key Responsibilities
Administer Customer Contracts: Draft and maintain templates for customer agreements such as MSAs, Order Forms, SOWs, and NDAs. Create and update schedules and addenda including DPAs, BAAs, and SLAs. Adjust terms and contract structures by region and business unit. Implement and maintain contract terms parameters and clause libraries, review and negotiate redlines, and work with Product, Service Delivery, and Sales Operations teams.
Manage Vendors & Partner Contracts: Draft and maintain templates for partner agreements including channel, referral, and agent agreements. Analyze, negotiate, and ensure compliance with corporate standards; collaborate with Procurement and internal teams.
Lead Contract Operations: Collaborate cross-functionally to establish efficient workflows and systems integration. Coordinate with outside counsel on complex issues. Provide guidance on contract provisions, ensure compliance with legal and regulatory guidelines, and drive adherence to corporate governance. Assist the GRC team and identify opportunities for automation using AI and legal tech tools.
Required Qualifications
Proven experience in managing high volumes of contracts in fast-paced settings, strong knowledge of contract law and negotiation strategy, familiarity with CLM software (e.g., Ironclad), and the ability to translate technical concepts into contract provisions. Must have a minimum of 5+ years in contract management in a B2B technology services environment and a Bachelor’s degree.
