About the Contract Manager Role

This Contract Manager role at Swooped drives end-to-end contract operations by drafting, negotiating, and managing customer, vendor, and partner agreements with precision, scalability, and legal compliance. The position emphasizes collaboration across teams to optimize workflows, revamp the CLM system, and enhance the efficiency of the contract lifecycle.

Key Responsibilities

  • Administer customer contracts, including drafting and maintaining MSAs, Order Forms, SOWs, NDAs, DPAs, BAAs, and SLAs.
  • Create and update schedules, addenda, and clause libraries for consistency and scalability.
  • Review and negotiate contract redlines within defined parameters.
  • Collaborate with Product, Service Delivery, and Sales Operations teams to streamline workflows.
  • Develop and continuously improve a contract management (CLM) system for tracking key contract information.
  • Manage vendor and partner agreements by drafting templates and organizing key terms.
  • Work with the Director of Procurement to ensure scalable vendor CLM practices.
  • Coordinate with external counsel on complex contracts and provide guidance on legal provisions.
  • Identify opportunities to automate tasks and optimize workflows using AI and legal tech tools.

Required Qualifications

  • Minimum 5+ years of contract management experience in a B2B technology services setting.
  • Proven ability to draft, review, and negotiate a variety of contract types.
  • Strong knowledge of contract law, negotiation strategy, and technical service provisions.
  • Experience with contract lifecycle management (CLM) software such as Ironclad.
  • Excellent communication, negotiation, and organizational skills.
  • Bachelor's degree required; JD or paralegal certification is a plus.
