About the Company Secretary role...
We are looking for an experienced Company Secretary to support the Board, its Committees and the Group’s governance requirements.
This is a part-time role, ideally structured around 2 working days per week, that will suit someone seeking flexibility.
Working days and hours will vary depending on the Board and Committee calendar, meeting cycles, reporting deadlines, the AGM and other key governance activities. The role will require availability around scheduled meetings and the ability to increase or adjust hours at key times of the year.
The role is ideal for a senior governance professional who enjoys working closely with Directors and executives, is comfortable collaborating with many stakeholders and can provide calm, practical and trusted advice in a dynamic environment.
What you’ll do...
Advise the Board Chair, Directors and executives on governance and company secretarial matters.
Coordinate the Board and Committee calendar, agendas, papers, meetings, minutes and action registers.
Maintain accurate corporate records, statutory registers and governance documentation.
Support compliance with the Corporations Act, ASX Listing Rules and other applicable requirements.
Coordinate ASX, ASIC, shareholder and other required corporate filings, disclosures and communications.
Support the Annual General Meeting and annual reporting process.
Maintain, review and coordinate revisions to Board and Committee charters, policies and governance processes.
Liaise with external service providers in the governance sector, such as share registries, employee share plan platform providers, and software providers.
Monitor relevant governance and regulatory developments and advise on their implications.
Ensure confidential Board and company information is managed securely and appropriately.
What you have...
Demonstrated experience as a company secretary or senior governance professional, ideally in an ASX-listed environment.
Strong knowledge of Australian corporate governance, the Corporations Act and ASX Listing Rules.
Experience supporting a Board and Board Committees, including preparing papers and minutes.
Excellent organisation, attention to detail and written communication skills.
Sound judgement, discretion and the confidence to provide constructive advice to senior stakeholders.
Ability to work independently and manage changing priorities around Board and governance cycles.
Relevant qualifications in law, governance, commerce or a related discipline are desirable.
