Overview

OneStream Software is seeking a Legal Counsel to join its Legal team. This role is ideal for a law student or attorney poised to handle contract negotiation, NDAs, software licensing, SaaS agreements, Cloud Services issues and more.

Primary Duties and Responsibilities

The Legal Counsel will advise on legal matters with a focus on software licensing and sales related to SaaS services, managed services, on-premise software, and professional services. Responsibilities include:

  • Drafting, reviewing, and negotiating US and international SaaS and software license agreements and amendments.
  • Collaborating with foreign attorneys on agreements and other commercial documents including NDAs and vendor agreements.
  • Supporting sales teams on contract interpretation and dispute resolution.
  • Conducting legal research on issues related to acquisitions and workforce matters.
  • Enhancing review, approval, and negotiation processes through projects and training.
  • Cooperating with Compliance teams on Privacy Shield, GDPR, SOC 1, SOC 2, HIPAA, and FedRamp documentation.

Required and Preferred Qualifications

Candidates must have a college diploma or a Bachelor’s Degree in a technology-related field, a law degree (J.D. or equivalent) from an accredited school, and be licensed in at least one state. Preference is given to those with at least 1 year of experience with software/technology license agreements and robust legal writing, research, and communication skills.
