Join micro1's team as a Transaction Structuring Expert, working remotely in the US on a part-time basis. This role is ideal for experienced bankers with a passion for deal mechanics, advanced transaction modeling, and bespoke financial solutions.

Key Responsibilities

• Build and refine advanced deal models including dividend recapitalizations, pro forma leverage, and earnouts.
• Lead rigorous due diligence processes including dataroom analysis and working capital normalization.
• Support capital markets activities with debt capacity and leverage modeling.
• Advise on and execute bespoke transactions such as spin-offs, carve-outs, and IP licensing.
• Collaborate with cross-functional deal teams and deliver actionable insights.
• Communicate complex transaction structures through high-quality written and verbal outputs.
• Ensure deliverables meet high standards of accuracy, timeliness, and strategic alignment.

Required Skills and Qualifications

• 5+ years of experience in tier 1 US investment banks, buy-side firms, or corporate development.
• Expertise in advanced deal/transaction modeling and mechanics.
• Proven record in due diligence with detailed financial analysis.
• Strong exposure to capital markets, especially debt financing and leverage strategies.
• Experience with bespoke or complex transactions like carve-outs, IP licensing, or spin-offs.
• Exceptional written and verbal communication with keen attention to detail.
• Ability to work independently and deliver in a remote, fast-paced environment.

Preferred Qualifications

• Background in both buy-side investing and investment banking.
• Experience in Fortune 500, high-growth technology, or strategic finance teams.
• MBA, CFA, or similar advanced credentials.
