About You
You’re a deal-focused finance professional who loves the mechanics of how transactions actually get done. You enjoy building and pressure-testing deal models, structuring bespoke solutions, and guiding stakeholders through complex decisions. Our customer—one of the world’s largest and most dynamic companies—is looking for a Transaction Structuring Expert to serve as a trusted advisor on high-impact strategic transactions. You’re comfortable operating at the intersection of valuation and execution, and you bring a blend of technical depth, judgment, and clear communication.
Key Responsibilities
- Build and refine advanced deal models, including dividend recapitalizations, pro forma leverage, and earnout structures.
- Lead rigorous due diligence processes, including dataroom analysis, working capital normalization, and cohort analysis.
- Support capital markets activities with debt capacity assessments and leverage modeling to inform optimal capital structures.
- Advise on and execute bespoke transactions, including spin-offs, carve-outs, and intellectual property licensing arrangements.
- Collaborate closely with cross-functional deal teams, providing actionable insights throughout transaction structuring and execution.
- Communicate complex transaction structures and recommendations clearly through high-quality written materials and verbal presentations.
- Ensure all deliverables meet the highest standards of accuracy, timeliness, and strategic alignment.
Required Skills and Qualifications
- 5+ years of experience at tier-1 U.S. investment banks, buy-side firms, or in corporate development at major institutions.
- Deep expertise in advanced deal/transaction modeling and transaction mechanics.
- Proven track record in due diligence, including detailed financial teardown and analysis.
- Strong exposure to capital markets, particularly debt financing and leverage strategy.
- Hands-on experience with bespoke or complex transactions, such as carve-outs, IP licensing, or spin-offs.
- Exceptional written and verbal communication skills with strong attention to detail.
- Independent, proactive, and effective in a remote, fast-paced environment.
Preferred Qualifications
- Background spanning both buy-side investing (private equity, hedge funds, VC) and investment banking.
- Experience in Fortune 500, high-growth technology, or strategic finance teams.
- MBA, CFA, or other relevant advanced credentials.
