About the Client
Insight Global's client is seeking a Remote Paralegal. This client serves as a concierge counsel, offering strategic legal consulting to high-growth companies. They help clients manage risk responsibly as they scale, handling a wide range of legal issues from commercial contracts to corporate governance, employment law, and overseeing specialist law firms.
Role Overview
As a Remote Paralegal, you will support the client's lawyers on day-to-day client work and ensure the back office and legal operations are efficient and organized during rapid growth. This role requires a problem-solver who is comfortable diving into new projects, stretching their knowledge, and building a new kind of legal services business. Meticulous attention to detail, excellent judgment, and strong communication skills are essential for both internal team collaboration and external client interactions.
Key Responsibilities
- Manage the entire contract workflow, including preparing NDAs, commercial contracts, and HR/employment agreements based on existing forms.
- Distinguish between material and non-material legal and business issues in contracts.
- Route contracts for approval and signature, file finished contracts, and track key dates.
- Update and maintain the library of form documents, contract clauses, and templates.
- Maintain corporate minute books, drafting written consents, gathering approvals, and responding to record requests.
- Coordinate registered agent responsibilities and manage state corporate filings and annual reports.
- Manage relationships with outside counsel, optimizing efficiencies and controlling legal spend.
- Update and maintain the virtual data room for external investors.
- Act as project manager on multiple legal initiatives, tasks, and projects.
- Manage equity and capitalization records, including maintaining accurate cap tables and option records in Carta (or similar platforms).
- Perform legal assistant and administrative tasks as needed, such as gathering signatures, organizing files (electronic and hard copy), creating binders, and being responsive to new requests in a startup environment.
What We're Looking For
- A collaborative team player experienced in partnering with internal and external contacts at all levels.
- Strong organizational and communication skills with the ability to work independently and take ownership of projects.
- Adaptability to changing priorities, patience in high-pressure situations, and a proactive approach.
- Experience managing highly confidential information with professionalism and unquestionable integrity.
- Outstanding knowledge of MS Office (Word, PowerPoint, Excel), Adobe (secure .pdfs, redactions), and DocuSign.
- Experience with Carta, Microsoft SharePoint, Google G-Suite, Quickbooks, and ChatGPT (or other preferred AI tool).
- 5+ years' experience working at a major law firm or in-house legal department, with an emphasis on corporate/transactional or contract management expertise a plus.
- Paralegal certification is a plus.
