Director & Assistant General Counsel, Corporate & Securities
Our client, a leader in the Consumer Technology space, is seeking a Director & Assistant General Counsel, Corporate & Securities. This role will provide business-aligned guidance focused on governance, compliance, and operational risk management. You will partner with leaders, compliance stakeholders, and cross-functional teams to translate complex issues into practical recommendations. The position offers the opportunity to strengthen responsible execution, improve decision-making, and support sustainable growth within a technology-driven environment.
Responsibilities
- Lead compliance with U.S. securities laws and manage public company disclosure documents.
- Advise on the strategy and content for SEC filings and external communications.
- Collaborate with Finance and Investor Relations on the earnings-cycle process.
- Drive disclosure controls and procedural improvements across teams.
- Oversee annual meeting matters and shareholder proposal processes, leveraging AI for efficiency.
- Manage insider trading compliance and enhance policies with automation tools.
- Provide legal support for M&A activities and corporate governance matters.
Qualifications
- J.D. from an accredited law school and active bar membership in good standing (U.S.).
- 12+ years of relevant experience in corporate and securities law, ideally in a public company setting.
- Exceptional knowledge of U.S. securities laws and SEC compliance practices.
- Experience in M&A and capital markets transactions.
- Proven track record in equity program administration on a global scale.
- Excellent drafting, communication, and judgment skills, with the ability to convey complex information to diverse stakeholders.
- Demonstrated ability to lead cross-functional initiatives and manage multiple priorities under tight deadlines.
