Job Description
About the Role
We are seeking a qualified Company Secretary with 2–6 years of post-membership experience to manage secretarial and compliance functions, support the Board, and uphold strong corporate governance. Exposure to legal matters will be an added advantage, making this role ideal for candidates with a dual interest in compliance and legal advisory.
Key Responsibilities
- Ensure compliance with the Companies Act, SEBI regulations, FEMA, and other applicable corporate laws.
- Organize and manage board meetings, committee meetings, and general meetings including drafting agendas, notices, minutes, and resolutions.
- Maintain statutory registers, filings, and records with MCA/ROC.
- Draft, review, and vet legal agreements, contracts, and corporate documents.
- Support management and the Board in governance practices and decision-making.
- Liaise with auditors, regulators, and stakeholders for compliance, filings, and approvals.
- Prepare and file annual returns, financial statements, and event-based compliances.
- Assist in secretarial audits, equity/debt fundraising compliance, ESOP administration, and related activities.
- Stay updated with corporate law, SEBI guidelines, and regulatory changes.
Requirements
- Qualified Company Secretary (ACS) from ICSI. Preferable with a law background.
- 3-6 years of relevant experience in secretarial and compliance functions.
- Strong knowledge of the Companies Act, SEBI Listing Regulations, FEMA, and corporate laws.
- Experience in legal drafting/review will be an added advantage.
- Excellent communication, drafting, and stakeholder management skills.
- Ability to work independently with high attention to detail.
- Prior exposure to fintech, e-commerce, or startups is preferred.
