Team Overview: Integration & Separation, Technology in M&A

This position is within the Integration & Separation (I&S) team, specifically focusing on Technology in M&A, part of the Deal Advisory group at KPMG Global Services (KGS). KGS serves as KPMG’s global delivery center, playing a vital role in enhancing innovation, building scalability, and improving profitability worldwide. The KGS Deal Advisory & Strategy (DA&S) team delivers solutions to KPMG member firms globally, leveraging insights and best practices to create tailored approaches for M&A transactions. Their capabilities encompass Corporate Finance, Transaction Services, Strategy, Business Modelling, Accounting Advisory Services, Deal Advisory Research, and Benchmarking.

KPMG’s Integration & Separation team (ISA) offers advisory services to clients on executing operational integrations of acquisitions or joint ventures, and separations in the context of divestitures or sales. The team adopts an enterprise-wide perspective across all functions in M&A deals to deliver value. Additionally, the team conducts pre-deal Due Diligence in specific business areas. The Technology in M&A team focuses on pre-deal and post-deal execution related to technology strategy, with an emphasis on identifying potential risks, synergies, and optimizing the IT function. Their work includes technology due diligence and operational integration activities such as TSA development, Integration Readiness, Day 1 preparation, and supporting implementation plans.

Responsibilities of an Assistant Manager IT Due Diligence

As an Assistant Manager in the Technology M&A team, you will work on projects, receiving guidance and insights into the deal environment from senior team members. This will enable you to build your transaction knowledge and further develop your technology skills. Your responsibilities include supporting Tech M&A Managers and Senior Managers on small to medium-sized engagements, acting as the day-to-day support, which may involve:

Due Diligence
  • Analyzing target data to establish a comprehensive view of the business’s technology, including cost, products, systems, and IT contracts.
  • Condensing data and clearly explaining findings to team members, highlighting technology’s impact on business strategy, operations, and deal valuation.
  • Developing an understanding of IT benchmarks and qualitative information to provide clients with insights into typical IT function structures.
  • Assisting in client communications, calls, and meetings.
  • Contributing content for sections of IT reports and deliverables.

Integration and Separation
  • Understanding technology aspects of integration, separation (carve-outs), and optimization initiatives (e.g., synergy analysis). This includes comprehending the current IT landscape, supporting target operating model development, defining transitional service agreements, creating detailed plans, and assisting with their implementation.
  • Supporting the IT workstream lead within a larger team of Integration & Separation colleagues to achieve workstream objectives.
  • Supporting key client workshops and meetings.
  • Assisting in the identification or review of client IT synergies within a larger team.

Wider Responsibilities
  • Interacting with senior client stakeholders and internal KPMG stakeholders (Partners and Directors).
  • Providing support to senior colleagues on various aspects, such as preparing proposal materials and developing team propositions and initiatives, when not engaged in a project.

Qualifications

Mandatory Skills
  • MBA or Bachelor’s degree in a related field from an accredited college/university, preferably with a major in Technology.
  • 4 to 7 years of technology consulting experience with a focus on deal advisory, integration, and separation processes.
  • Experience implementing Information Technology processes, technologies, best practices, and frameworks, including:
    • Application Support & Maintenance
    • Network & Data Center Operations Management
    • Security
    • Cloud-based Deployment Models (e.g., Infrastructure-as-a-Service)
    • Infrastructure Optimization (e.g., consolidation, rationalization, cost savings)
  • Knowledge of enterprise business applications (e.g., ERP, CRM).
  • Experience assisting with technology assessment/diligence.

Preferred Skills
  • A good understanding of the M&A environment.
  • IT specialization in areas such as: IT strategy, applications, infrastructure, architecture, cyber security.
  • Experience in facilitating client meetings, workshops, and interviews.
  • High-quality outputs using Microsoft Excel and PowerPoint. Knowledge or experience with Visio, Power BI, and SmartSheet is also beneficial.
  • Project management experience and a track record of successful project delivery.
  • Comfort with ambiguity, fluid consulting situations, and highly pressured environments characteristic of transactions.
  • Ability to work well under pressure, learn quickly, and apply skills in new situations.
  • Ability to travel at a moderate level.
