About the Role

The Deal Strategy - Value Creation Group at KPMG is a market leader in Spain for strategic advisory. We work with major venture capital funds, institutional investors, corporations, and associations. We are looking for a Manager to lead Technology Due Diligence projects in M&A processes, both buy-side and sell-side. The goal is to maximize value and minimize technological risks in transactions, aligning technology with business strategy and its impact on EBITDA. You will collaborate closely with Private Equity Funds, senior management, and cross-functional teams to evaluate the strategic and operational impact of technology in transactions. This position is ideal for someone experienced in leading Due Diligence projects and developing strategic models and recommendations for technology-driven growth and operational efficiency.

Key Responsibilities

Buy Side Projects:

• In-depth analysis of the target asset's technological environment (infrastructure, systems, SW architecture, cybersecurity, data strategy, etc.).
• Identification and disclosure of technological risks that could negatively impact the business, operations, and profit and loss (P&L).
• Evaluation of the alignment between technology and the buyer's strategic objectives.
• Recommendation of actions to mitigate risks and optimize post-acquisition technological integration.
• Support for integration and separation planning from a technological perspective.

Sell Side Projects:

• Analysis and communication of how the asset's technology enhances differentiation and market value.
• Identification and demonstration of the positive impact of technology on EBITDA and other relevant KPIs.
• Preparation of materials and presentations highlighting technological strengths and their contribution to growth and operational efficiency.
• Support in preparing the company for the sale process, ensuring technology is an attractive factor for potential buyers.

What You Need to Know

• 5-7 years of experience in consulting or a technology company.
• Experience in digital transformation, IT strategy, or M&A-related projects.
• Mentoring junior team members and contributing to their internal development.
• Knowledge of major enterprise systems (ERP, CRM, BI, etc.) and current technological trends.
• Familiarity with M&A concepts and the role of technology in transaction value is a plus.
• Strong problem-solving, communication, and stakeholder management skills.
• Aptitude for working in dynamic environments and managing multiple priorities.
• Proficiency in PowerPoint and Excel; knowledge of tools like Power BI, SQL, or Python is valued.
• Advanced Spanish and English (C1) proficiency.
