Corporate Lawyer
The Corporate Lawyer supports the company’s capital markets, sales, and cross‑border commercial activities across key Asian jurisdictions. This role requires strong legal expertise combined with a solid understanding of global financial markets. The Corporate Lawyer will review, draft, and negotiate complex sales agreements, regulatory documents, and transaction structures while ensuring compliance with relevant legal frameworks.
Key Responsibilities
- Draft, review, and negotiate complex sales contracts, financing agreements, and cross‑border commercial documents for Asian markets.
- Interpret and advise on securities regulations, market rules, and compliance requirements across multiple Asian jurisdictions.
- Support the structuring of equity, debt, and derivative transactions with a focus on legal risk mitigation.
- Conduct legal due diligence on counterparties, investment structures, and financial transactions.
- Work closely with Legal, Finance, Sales, and Risk teams to evaluate contract terms, market implications, and potential exposures.
- Monitor regulatory and policy updates from agencies such as MAS, HKMA, JFSA, and CSRC and provide guidance to internal stakeholders.
- Prepare legal analyses, memos, and risk assessments related to capital markets and cross‑border activities.
- Serve as the internal subject‑matter expert on contract law and capital‑market regulations.
- Contribute to the development and improvement of internal compliance procedures.
Qualifications
- Juris Doctor (JD) or equivalent law degree; admission to practice law preferred.
- Experience in corporate law, securities law, or capital markets.
- Proven ability to negotiate and interpret complex commercial and financial contracts.
- Working knowledge of derivatives, structured products, and capital‑markets instruments.
- Familiarity with Asian regulatory bodies and international compliance standards.
- Strong analytical, communication, and research skills.
