About the role

About the Role

Goldman Sachs' Equity Structuring team is seeking a Vice President with a focus on 10b5-1 Plans, Executive Selling, and Restricted Stock. You will be instrumental in marketing and structuring capital markets transactions for founders, C-suite executives, and large shareholders of public companies. This role involves close collaboration with private wealth advisors, company counsel, and clients' tax advisors to structure and draft 10b5-1 plans throughout their lifecycle. You will also contribute to platform expansion and technology development.

Key Responsibilities

  • Educate clients on 10b5-1 plans and related rules (e.g., Form 144 and Form 4 filings).
  • Work with clients to structure and draft their 10b5-1 plans to align with their objectives.
  • Partner with private wealth advisors, the 10b5-1 trading team, and internal partners like Legal and Compliance.
  • Conduct due diligence on client restrictions derived from SEC rules, executive roles, and IPOs/M&A events.
  • Research and analyze client equity holdings and transaction history using SEC filings and third-party datasets.
  • Create client-facing marketing materials and educate clients and prospects.
  • Contribute to platform expansion and technology development through collaboration with business partners and trading teams.

Qualifications

  • Bachelor's degree required.
  • Minimum of 2 years of experience in financial markets.
  • Strong attention to detail, time management, and organizational skills.
  • Excellent interpersonal and communication skills (written and verbal).
  • Ability to think independently and analytically within a defined framework.
  • Motivated team player with initiative and ability to work autonomously.
  • High degree of personal accountability and ability to handle sensitive/confidential information.
