Job Description: Corporate Lawyer

We are seeking a dynamic and experienced Corporate Lawyer to join the Legal team, reporting to the Chief Legal Officer and supporting our strategic objectives. In this role, you will manage the corporate affairs of a diverse portfolio of affiliated companies across the globe with precision and professionalism.

Key Responsibilities

• Managing corporate affairs for Luxembourg companies, including drafting board and shareholder minutes, and ensuring legal compliance with Luxembourg regulations.
• Partnering with local in-house lawyers to ensure corporate compliance of subsidiaries and participations worldwide.
• Collaborating with finance and legal departments to manage all legal aspects of internal corporate restructuring, analyzing, and preparing legal documentation for corporate transactions.
• Supporting the Chief Legal Officer in complex financing and M&A transactions as needed.
• Designing, building, and improving corporate processes and policies, ensuring their proper application throughout the Group.
• Organizing and maintaining a comprehensive database of all corporate records for subsidiaries and participations.
• Managing KYC (Know Your Customer) and UBO (Ultimate Beneficial Owner) requests.
• Managing the Group's trademarks and patents portfolio.
• Developing strong relationships with partners and lawyers across all sectors, departments, and numerous jurisdictions globally.

Your Profile

• You hold a Master's degree in corporate business law.
• You have gained a minimum of 7 to 10 years of professional experience in a similar working environment or within a law firm.
• You possess a thorough understanding of Luxembourg laws and regulations.
• You have a perfect command of English and French, demonstrating excellent written communication and legal drafting skills.

Foundever looks for candidates with the ability to critically analyze complex transactions, understanding their legal, business, and financial rationale. You should be able to conduct legal risk assessments, evaluate accounting and tax implications in collaboration with our accounting and tax teams, and provide meaningful support to directors by drafting well-reasoned and accurate governance documentation.

The perfect candidate is reliable, well-organized, able to prioritize, and efficiently handle multiple tasks in a challenging environment. You are team-oriented, with strong interpersonal and communication skills, and capable of working proactively in a very dynamic and demanding environment.
