Work You'll Do as a Mergers & Acquisitions Product Technology Diligence Senior Consultant
Senior Consultants on the product tech diligence team assist in evaluating technology and/or software, identifying potential risks, and ensuring it serves as a successful enabler for pending M&A transactions. You will deliver complex client engagements that help refine the client's product tech strategy with a focus on inorganic growth. This involves conducting software diligence, divestiture support, and post-merger support for clients as they assess joint ventures, partnerships, acquisitions, or potential sales. As a Mergers & Acquisitions Product Technology Diligence Senior Consultant, you will act as a trusted advisor to both corporate and private equity clients. Deloitte's Senior Consultants are self-starters who thrive in an energetic, dynamic, and hands-on culture. Your responsibilities will include, but are not limited to:
- Synthesizing overall technology/software strategy by analyzing diverse solutions, selecting the most relevant tools/techniques to meet specific client requirements (e.g., business case, pricing, complex financial and technical analysis), and interpreting/reporting on outputs.
- Demonstrating proven resourcefulness with various subject matter areas that arise during diligence activities.
- Ensuring responsiveness, including the ability to respond to emails and calls within a reasonable timeframe based on client situation and needs.
- Participating in setting engagement objectives and scope.
- Developing work plans for components of engagements, coordinating activities between work streams, and identifying changes in scope.
- Designing deliverable content to precisely reflect the engagement contract and client needs, striving to improve deliverable quality through verification and validation of results.
- Evaluating technology systems and operations of target companies.
- Identifying potential risks.
- Helping ensure IT or specific software successfully enables a transaction.
The Team
Our M&A team provides expert guidance to corporate and private equity clients navigating complex growth and divestiture scenarios. Our comprehensive services include M&A strategy and transaction diligence, integration and separation planning and execution, as well as transaction financing.
Within M&A strategy and transaction diligence, our IT and product tech diligence specialists focus on the value creation potential of each transaction and its inherent operational risks. The Deloitte IT diligence practice executes several services by evaluating technology systems and operations, identifying potential risks, and ensuring IT is a successful enabler for M&A transactions. Each service focuses across an organization's people, process, applications, and infrastructure, incorporating unique industry considerations. Product tech diligence specifically assists clients by reviewing proprietary technology products, cybersecurity, initial carve-out/standup requirements, and initial integration/separation planning requirements. This is achieved through an integrated platform that more clearly aligns deal macros with clients' investment theses, emphasizes the foundational maturity of the target company, brings more value creation concepts to the diligence effort, and applies a metrics-driven perspective.
