Associate Attorney - Cahill NXT
Cahill Gordon & Reindel LLP seeks an Associate Attorney to join the Cahill NXT practice in New York, NY. This role will support clients in resolving legal matters related to digital assets and the adoption of emerging technologies.
Key Responsibilities:
- Support public companies, private companies, and private equity firms in domestic and cross-border transactions.
- Handle public and private M&As, joint ventures, carve-outs, and general corporate matters.
- Draft and negotiate transaction documents, including term sheets, NDAs, and main transaction agreements.
- Prepare and file SEC filings, including proxy statements, registration statements, 10-Ks, 10-Qs, and 8-Ks.
- Advise clients on securities law compliance, directorial duties, and exchange listing requirements.
- Identify and resolve complex legal issues in areas such as M&A, IPOs, SPACs, public/private financings, and spin-offs.
- Review organizational documents, shareholder agreements, voting agreements, and material contracts.
- Coordinate due diligence efforts, prepare due diligence reports, and review diligence documents.
- Utilize legal research tools such as Deal Point Data and Intelligize, and proofreading tools like Litera.
Qualifications:
- Juris Doctor degree or equivalent.
- Two (2) years of experience advising companies on complex transactions and corporate matters.
- Admission to practice law in the state of New York.
Work Environment:
- Salary Range: $390,000.00 - $435,000.00 per year.
- Monday to Friday, 40 hours per week.
- Telecommuting and/or working from home may be permissible per company policy.
