Job Description
Business Transactional Tax Attorney
The law firm of Baker, Donelson, Bearman, Caldwell & Berkowitz, P.C. is actively seeking a shareholder or counsel-level Business Transactional Tax Attorney to become a vital part of its thriving Business Department. The ideal candidate will possess at least 10 years of relevant corporate and transactional tax experience, serving as a trusted advisor to both internal firm clients and external partners.
Key Responsibilities
- Assist clients in structuring financial transactions to optimize tax outcomes and ensure strict compliance with applicable tax laws and regulations.
- Provide comprehensive guidance on the tax aspects of various complex matters, including Mergers & Acquisitions (M&A), financing arrangements, private equity structures, capital markets transactions, and other business reorganizations.
- Negotiate and meticulously draft transactional documentation and agreements, and expertly prepare and issue crucial tax opinions.
- Develop and nurture robust client relationships, establishing yourself as a trusted and indispensable advisor.
- Collaborate effectively with attorneys across diverse practice groups and office locations on intricate tax matters.
- Serve as a dedicated mentor and influential leader for junior attorneys within the specialized tax practice.
Qualifications
- Minimum of 10 years of extensive experience in transactional tax matters, coupled with a proven ability to proficiently manage complex, tax-driven corporate transactions.
- Demonstrable and extensive knowledge of federal, state, and local tax laws.
- A strong foundational understanding of partnership, corporate, and international tax issues.
- Expertise in specialized areas such as private equity, cross-border transactions, or real estate tax is highly preferred.
- An LL.M in Tax is preferred.
- Admission to practice in the state where the attorney will be based.
- Exceptional communication, relationship-building, and client service skills.
