Business Transactional Tax Attorney

The law firm of Baker, Donelson, Bearman, Caldwell & Berkowitz, P.C. is seeking a shareholder or counsel-level Business Transactional Tax Attorney to join its thriving Business Department. The ideal candidate has at least 10 years of relevant corporate and transactional tax experience and will serve as a trusted advisor for both internal and external firm clients.

Key Responsibilities

  • Assist clients in structuring financial transactions to optimize tax outcomes.
  • Provide guidance on tax aspects for M&A, financing, private equity, and capital markets transactions.
  • Negotiate, draft transactional documentation, and prepare tax opinions.
  • Develop and maintain strong client relationships.
  • Collaborate with attorneys across practice groups and offices on complex tax matters.
  • Mentor and lead junior attorneys within the tax practice.

Qualifications

  • Minimum 10 years of experience in transactional tax matters.
  • Extensive knowledge of federal, state, and local tax laws.
  • Strong understanding of partnership, corporate, and international tax issues.
  • Expertise in areas such as private equity, cross-border transactions, or real estate tax is preferred.
  • LL.M in Tax is preferred and admission to practice in the relevant state is required.
  • Strong communication, relationship-building, and client service skills.
