About the role
Equity Capital Markets Attorney
Axiom is seeking an experienced Equity Capital Markets Counsel to join our dynamic Corporate and Securities team. This pivotal role focuses on the execution of IPOs, ensuring SEC reporting and compliance, and structuring equity transactions. We are looking for a dedicated attorney with a strong background in advising on initial public offerings, registration statements, and ongoing compliance with the Securities Exchange Act of 1934. You will also provide critical support for corporate governance and shareholder rights matters.
Key Responsibilities
- Draft, review, and negotiate essential legal documents including equity offering documentation, stock purchase agreements, and shareholder agreements.
- Provide expert legal guidance on IPO processes, SEC filings, corporate governance, and shareholder rights.
- Collaborate effectively with internal legal, finance, and executive teams, as well as external counsel, underwriters, and regulators.
- Manage complex securities law and corporate governance issues for public and pre-IPO companies across diverse industries.
- Proactively advise clients by staying informed on equity capital markets developments and evolving SEC rules under the Securities Exchange Act of 1934.
Qualifications
- A minimum of 5 years of experience in equity capital markets, securities law, or corporate transactions.
- In-depth knowledge of IPO execution, SEC reporting requirements, and the Securities Exchange Act of 1934.
- Demonstrated success in advising clients on equity offerings, registration statements, and corporate governance.
- Exceptional communication, negotiation, technology, and problem-solving skills.
- Juris Doctor (JD) degree and a valid license to practice law in an applicable jurisdiction.
Preferred Skills
- Experience in drafting and managing registration statements and ongoing public company compliance.
- Familiarity with working alongside investment banks and underwriters on IPOs and follow-on offerings.
Compensation & Benefits
The estimated total compensation for full-time Axiom attorney roles ranges from $104,500 to $325,000 per year. Compensation is determined by factors such as experience, skills, certifications, location, and business needs.
