Paralegal - Transactions Team
At Morrison Foerster (MoFo), we are looking for a driven Paralegal to join our Transactions team in Boston. This role offers a unique opportunity to contribute to sophisticated financial matters, gain hands-on experience in complex transactions, and build a strong foundation in the legal field within a supportive, team-driven environment.
About The Role
As a Paralegal, you will develop and apply foundational knowledge, procedures, and technology skills to complete assigned projects and tasks efficiently. You will follow established processes, identify resources to enhance efficiency, and maintain high-quality work product. Your strong organizational skills will be crucial for managing workflow, preparing documents, and coordinating effectively across teams. You will proactively identify issues, collaborate with attorneys, and contribute to timely problem resolution. Meeting administrative and billable expectations, including timely time entries and submissions, is essential.
Key Responsibilities
- Support all phases of financial transactions, including general financings, public offerings, mergers and acquisitions, and other corporate matters.
- Prepare, review, and file UCC financing statements.
- Draft closing certificates and checklists; coordinate lien reviews.
- Assist with entity formations and ongoing corporate compliance.
- Attend closings and assist with document management, including proofreading and redlining documents.
- Conduct legal research.
- Support auditor letter responses.
- Prepare and distribute bound closing volumes.
About You
- Bachelor’s degree with a strong academic record.
- Ability to work efficiently under direct supervision and consistently meet deadlines.
- Strong sense of accountability and ability to take ownership of assignments.
- Exceptional attention to detail and commitment to high-quality work.
- Ability to manage multiple projects simultaneously and adapt to shifting priorities.
- Excellent written and verbal communication skills.
- Proficiency in Microsoft Office Suite (Word, Outlook, Excel, PowerPoint).
- Commitment to remaining in the role for 2+ years before pursuing law school or other ventures.
