We are seeking an experienced Corporate Paralegal to join our Mergers & Acquisitions practice. This role provides direct support to attorneys and senior paralegals across the full lifecycle of M&A transactions — from deal inception through post-closing — with responsibilities spanning document management, closing coordination, corporate governance, and ongoing entity compliance. The ideal candidate brings hands-on experience supporting both buyer-side and seller-side transactions and is comfortable managing multiple active deals simultaneously under tight deadlines. This position potentially involves direct interface with attorneys, clients, and opposing counsel. Responsibilities include but are not limited to:- Assist with preparation and drafting of merger or purchase agreements and related ancillary agreements
- Prepare and draft disclosure schedules
- Develop and conduct research related to transactions and filings, such as UCC searches
- Virtual Data room management
- Analyze and organize records and documents
- Prepare withdrawal and qualification documents in accordance with all state, local and federal laws and regulations for conducting business
- Prepare notification of change of ownership or information with state regulatory agencies
- Manage/oversee the preparation of electronic closing sets and binders and other post-closing deliverables; distribute to appropriate parties
- Draft shareholder and board consents
- Entity Formation
- Draft organizational, incorporation and formation documents such as Articles of Organization, Operating Agreements, Consents and qualification documents
- Conduct name availability search and reserve entity name, if required
- Draft Subscription Agreements, Stock Certificates, stock Powers and related documents
- Prepare SS-4 forms and apply for Employer ID Numbers
- Draft shareholder and board consents
- Draft and file amendment certificates for corporation or limited liability companies
- Coordinate projects with various service companies
Essential Job Functions
- Significant client management experience.
- Exercise significant independent judgment and discretion in management of client team activities.
- Exercise independent judgment in the efficient and cost-effective use of practice support, databases and other technology.
- Exhibit initiative to stay informed of developments in paralegal industry and going above and beyond to ensure growth of the Corporate M&A and Securities Paralegal Team by sharing such information informally or in the context of firm sponsored CLEs and other in-house training efforts.
- Familiarity and experience with adopting legal AI and ability to learn and implement new AI preferred.
- Meet billable hour requirement of 1500 hours per year.
- Perform other duties as required.
Minimum Requirements
- Minimum of 5 years relevant experience, with a significant focus on M&A transactions.
- Associate’s degree required; Bachelor’s degree or Paralegal Certificate preferred.
- Significant, substantive legal related experience may be considered in lieu of formal education at the discretion of the SBU Managing Director.

Compensation and Benefits
Employees are entitled to compensation commensurate with skill and experience. The exact compensation will vary based on skills, experience, location, and other factors permitted by law. The expected compensation ranges for this position are as follows:- State of Colorado: $75,000 - $119,000
- State of Illinois: $64,000 - $125,000
- State of Maryland: $73,000 - $107,000
- State Massachusetts: $85,000 - $130,000
- State of Minnesota: $75,000 - $111,000
- Jersey City, NJ: $78,000 - $114,000
- State of New York: $66,000 - $125,000
