About The Role
We are seeking a skilled and driven Financial Transactions Paralegal to join our Boston office, where you will play an integral role in closing complex financings, public offerings, mergers, and acquisitions that shape the business landscape. This is a role for a sharp, detail-oriented professional who thrives in a fast-paced environment, juggles competing priorities with ease, and brings both analytical precision and creative problem-solving to every assignment. From drafting UCC financing statements and coordinating lien reviews to guiding corporate formations and managing closing documentation, you will be at the center of the action — collaborating with attorneys and clients, leveraging cutting-edge technology, and making a meaningful impact on transactions that matter. - Assist in all phases of closings of general financings, public offerings, acquisitions and mergers, and other corporate transactions.
- Review, prepare and file UCC financing statements.
- Draft closing certificates and closing checklists, coordinate lien review.
- Attend closing transactions and assist with document organization; prepare and distribute bound volumes of closing documents.
- Assist with formation of corporations and ensure that all requirements are met for successful ongoing operations of corporations.
- Proofread and redline documents.
- Conduct research and perform library and online searches.
- May assist with preparation of response to auditor letters.
About You
- Bachelor's degree preferred, with a minimum of four years of relevant paralegal or comparable legal experience in financial transactions or a related practice area.
- Proven ability to work independently with minimal supervision, taking full ownership of projects from initiation to completion while proactively identifying and resolving issues.
- Demonstrated ability to manage multiple concurrent projects under pressure, following complex instructions with a high degree of accuracy and meticulous attention to detail.
- Strong capacity to research, synthesize, and clearly communicate complex data, paired with excellent written and verbal communication skills.
- Advanced proficiency in Microsoft Office Suite, including Word, Outlook, Excel, and PowerPoint, with a commitment to leveraging technology to drive efficiency.
