Corporate M&A Paralegal
Husch Blackwell LLP is a full-service litigation and business law firm with multiple locations across the United States, serving clients with domestic and international operations. The firm is committed to fostering an engaged, diverse, and inclusive team culture. We are seeking a motivated professional for our Corporate Paralegal position.Scope of Responsibilities
This role provides direct support to attorneys and senior paralegals in Mergers & Acquisitions (M&A) practice. Responsibilities span the full lifecycle of M&A transactions, including document management, closing coordination, corporate governance, and ongoing entity compliance. The ideal candidate will have experience supporting both buyer-side and seller-side transactions and managing multiple deals simultaneously under tight deadlines. This position may involve direct interaction with attorneys, clients, and opposing counsel. Key responsibilities include:- Assisting with the preparation and drafting of merger or purchase agreements and related ancillary agreements.
- Preparing and drafting disclosure schedules.
- Conducting research related to transactions and filings, such as UCC searches.
- Managing virtual data rooms and organizing records and documents.
- Preparing withdrawal and qualification documents in accordance with all state, local, and federal laws.
- Managing the preparation of electronic closing sets and binders and other post-closing deliverables.
- Drafting shareholder and board consents.
- Drafting organizational, incorporation, and formation documents (e.g., Articles of Organization, Operating Agreements).
- Conducting name availability searches and reserving entity names.
- Drafting Subscription Agreements, Stock Certificates, and related documents.
- Preparing SS-4 forms and applying for Employer ID Numbers.
- Drafting and filing amendment certificates for corporations or limited liability companies.
- Coordinating projects with various service companies.
- Utilizing SimplyAgree and DocuSign is expected; prior experience is strongly preferred.
Essential Job Functions
- Significant client management experience.
- Exercise significant independent judgment and discretion in managing client team activities.
- Utilize practice support, databases, and technology efficiently and cost-effectively.
- Stay informed of developments in the paralegal industry and contribute to the growth of the Corporate M&A and Securities Paralegal Team.
- Familiarity and experience with adopting legal AI and ability to learn and implement new AI is preferred.
- Meet a billable hour requirement of 1500 hours per year.
- Perform other duties as required.
Minimum Requirements
- Minimum of 5 years relevant experience, with a significant focus on M&A transactions.
- Associate’s degree required; Bachelor’s degree or Paralegal Certificate preferred.
- Significant, substantive legal-related experience may be considered in lieu of formal education at the discretion of the SBU Managing Director.

Compensation and Benefits
Compensation will be commensurate with skill and experience. Expected ranges vary by location:- Colorado: $75,000 - $119,000
- Illinois: $64,000 - $125,000
- Maryland: $73,000 - $107,000
- Massachusetts: $85,000 - $130,000
- Minnesota: $75,000 - $111,000
- Jersey City, NJ: $78,000 - $114,000
- New York: $66,000 - $125,000
- Washington: $88,000 - $134,000
